LEGAL COUNSEL

JOB DESCRIPTION

· Responsible for business issues and legal matters pertaining to contracts, including developing, drafting, reviewing, redlining and negotiating master service agreements, work orders, statements of work, other IT services related agreements, supporting sales function in preparing legal responses for RFPs, software license agreements, vendor agreements, leases, and channel partner agreements, with emphasis on risk mitigation and revenue recognition issues and key support of sales process.

· The candidate will be a key contributor in providing support in the sales and partnership contracting processes to help support business operations while ensuring compliance with company policies, applicable laws and regulations.

· Provide general legal advisory services and address any HR queries and any other company related legal issues.

· Assist in maintaining and updating legal team templates, play books and other legal process documentation.

· Assist in client and internal audit processes.

· Support due diligence process for corporate level M&A transactions.

· Candidate will be working with the global sales, delivery, finance, shared services and other teams located in UK-EMEA and APAC regions.

· Part of global legal team, with reporting to Corporate Counsel based in India.

QUALIFICATIONS

  • Undergraduate and law degrees from reputable universities is a must. Must be admitted to the Bar in any state in India.
  • Qualified lawyers possessing 3 to 5 years of legal experience at a Tier1 or Tier2 large corporate law firm with extensive general corporate commercial experience is essential.
  • Candidates with experience in solely in litigation, arbitration and dispute resolution, Candidates with experience solely in-house roles and Candidates from LPOs will not be suitable for this role and hence would not be considered.
  • Preference would be given for Candidates having extensive experience in providing legal counsel on large IT application outsourcing RFPs, developing, drafting, reviewing/redlining and negotiating master service agreements, work orders, statements of work, licensing agreements, support and maintenance agreements, service level agreements, partner, reseller, OEM, teaming, referral, end user and non-disclosure agreements for global IT Services companies.
  • Candidate should be well versed in all aspects of commercial contracting, have sound knowledge of fundamental contracting and legal principles, negotiation, legal issues identification, risk management and general legal issues for multinational companies.
  • Exhibited track record of effective external and internal negotiations. Strong interpersonal skills and superior time management skills is essential.
  • The successful candidate must be a highly motivated self-starter, team player, exhibit high degree of ownership and initiative and be willing to take end to end responsibility for assigned tasks. Should be a strong individual contributor who enjoys working in a team environment. Candidate must excel in a fast-paced, time pressured and demanding environment; and is able to successfully manage competing priorities and work independently on a wide range of issues and projects, while delivering quality work under a tight timeline.
  • Candidate should be confident and possess nuanced interpersonal skills to collaborate with internal as well as external stakeholders across various time zones. Candidate must also have excellent oral and written communication skills in English, superb legal acumen and business judgment and strong leadership skills.
