Position:Manager/ Lead Consultant- Corporate Development (Mergers & Acquisitions)

Profile Summary

Virtusa is looking for aManager/ Lead Consultant - Corporate Development (M&A and Strategic planning), to execute fast moving M&A projects aligned to Virtusa vision and strategy for inorganic growth. The successful candidate should have extensive deal experience with a track record of running deal teams.

You will develop, coordinate, and implement plans designed to capture new opportunities for M&A. You will be responsible for sourcing of deals, and manage all day-to-day aspects of Corporate Development. An ideal candidate for this role is someone who has the ability to work a flexible schedule, as necessary.

Primary Job Responsibility

  • Manage all stages of the M&A transaction, including industry research,sourcing of deals, due diligence, analysis, valuation, legal documentation and closing
  • Should have extensive experience of deal identification,sourcing, evaluation, due diligence, documentation and closing inorganic opportunities, directly working on international end-to-end M&A of both private and public company nature, irrespective of size
  • Build financial models, forecasts, and conduct valuation analysis through a thorough understanding of the industry and company financial statements
  • Support transaction execution across the M&A lifecycle including strategic and market research,deal sourcing, pipeline development,Founder/Shareholder/C-level outreach, Due Diligence, Shareholder Agreements, Closing and Business Integration
  • Develop a deal pipeline by conducting industry research and cultivating new relationships with bankers, Private Equity (PE) and other industry players
  • Strong financial modeling skills including comparable company deal multiples, DCF, and other ROI and PE evaluation methodologies
  • Independently run quantitative and qualitative analysis to support decision making on strategic criteria
  • Exceptional technical and soft skills suited to a Front Office Investment Banking profile
  • High execution orientation, able to handle multiple projects and priorities and work in an ambiguous environment
  • Excellent story boarding, presentation and communication skills. Adept at creating professional pitch decks, deal presentations and Information Memorandums
  • Good at stakeholder management (at the Founder / C-level)
  • Experience with deal related fund raising will be a plus
  • Industry: Familiarity with the Outsourcing industry is a must (Cloud, Digital transformation, Data modernization, Data analytics, AI/ ML)
  • Affinity for current market events, critical issues, and relevant news
  • Familiarity with key bulge-bracket and mid-market banks in the Outsourcing or TMT space
  • Work closely with the senior leadership team to address the most pressing questions facing the company

Education and Essential Experience

  • Experience in Investment Banking, Private Equity, Venture Capital or in the Corporate Development / M&A function of multi-geo IT Services companies
  • Banks: TMT Investment Banking divisions of large and mid-market investment banks
  • Education: MBA from a top-tier institution in the US, Singapore, UK, India or a CFA level II holder
  • Excellent communication and networking skills
  • Proven proficiency in Microsoft Office products, especially Microsoft Excel, PowerPoint. Google Suite is a plus
  • Willingness to travel at a short notice
